Terms & Conditions

These Terms & Conditions ("Terms") govern your access to and use of ReviewSetu, including the website at https://review.chandravarnarachna.com, the business dashboard, QR codes, customer feedback pages and related services (together, the "Platform"). ReviewSetu is a product of Chandravarna Rachna, operated by Nayan Soni, referred to as "ReviewSetu", "we", "us" or "our".

By creating an account, activating a plan, making a payment or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform. If you accept these Terms on behalf of a business, you confirm that you are authorised to bind that business, and "you" or "Customer" refers to that business.

The Platform is intended for businesses and their authorised staff. You must be at least 18 years old and legally able to enter into a binding contract under Indian law to create an account.

ReviewSetu helps businesses manage how they invite their customers to share feedback and reviews. The Platform may include:

• QR codes and review links that a business places on tables, counters, receipts or packaging so customers can open its feedback page on their own phone.
• Customer feedback pages where a customer selects highlights and writes a short note about their experience, in a language of their choice.
• AI-assisted review drafts that turn the customer's own feedback into a readable draft. The customer can edit the draft, copy it and choose whether to post it on Google themselves. ReviewSetu does not post reviews on anyone's behalf.
• A business dashboard showing feedback, QR scan activity, AI draft usage, sentiment and recurring topics, along with branch, team, QR brand kit and subscription management.

Every customer can go to the business's Google review page at any point, whatever their experience. Features, usage limits and pricing depend on your plan and may change over time as described in these Terms.

You agree to:

• provide accurate, current and complete information about yourself and your business, including its name, branches and Google review link, and keep it up to date;
• use only a Google Business Profile, brand name and logo that you own or are authorised to use;
• keep your login credentials confidential, restrict access to authorised team members, and tell us promptly at hello@chandravarnarachna.com if you suspect unauthorised access. You are responsible for activity under your account;
• use the Platform only for lawful purposes and in line with these Terms, applicable Indian law (including consumer protection and advertising rules) and the policies of any third-party platform you use;
• give your customers any notices about feedback collection that applicable law requires, and not use the Platform to collect sensitive personal data from them.

You must not:

• copy, resell, sublicense or provide the Platform to third parties except as we permit in writing;
• reverse engineer, scrape, overload, probe or interfere with the Platform, its security or other users' data;
• upload unlawful, defamatory, infringing or harmful content, or use the Platform to send spam;
• use automated scripts, bots or fake scans to generate feedback, drafts or usage.

You are solely responsible for complying with Google's review and content policies, the Google Business Profile guidelines, and any other platform's rules that apply to you. ReviewSetu must be used only to help genuine customers describe their own real experiences. In particular, you must not use the Platform to:

• create, request or post fake reviews, or reviews by owners, staff, relatives, agencies or anyone who did not have the experience described;
• offer or give incentives such as discounts, free items, cashback, gifts or contest entries in exchange for reviews, or for changing or removing a review;
• engage in review gating: selectively asking happy customers for public reviews while steering unhappy customers away from Google, or discouraging or preventing negative reviews;
• pressure customers to post, review on their behalf, collect reviews on staff devices at your premises in a way that breaches platform rules, or otherwise manipulate ratings or reviews;
• post reviews about competitors or impersonate any person or business.

Customers must always remain free to write their own review, edit or discard an AI draft, or not post at all. Google's policies change from time to time and it is your responsibility to follow the current version. We may suspend or terminate accounts that misuse the Platform in any of these ways.

Review drafts and feedback insights (such as sentiment and topics) are produced with the help of third-party artificial intelligence models. AI output can be inaccurate, incomplete, repetitive or inappropriate, and may not reflect exactly what a customer meant. Accordingly:

• a draft is only a suggestion based on the customer's own input. The customer who posts a review is responsible for reading it and making sure it truthfully reflects their experience before posting;
• you must not instruct, configure or encourage the Platform to add claims the customer did not make, or to exaggerate their experience;
• insights in your dashboard are indicative only and should not be the sole basis for business, employment or legal decisions;
• we do not guarantee that Google or any other platform will publish, retain, display or accept any review, or that your rating or number of reviews will improve.

ReviewSetu is an independent product. It is not affiliated with, endorsed by, sponsored by or operated by Google LLC or its affiliates. "Google" and "Google Business Profile" are trademarks of Google LLC and are used only to describe where customers may choose to post reviews.

We do not own, control or operate Google Business Profile, Google Maps or Google Search. Google alone decides whether reviews are published, filtered, delayed or removed. To the extent permitted by law, we are not responsible for Google, or any other platform:

• suspending, restricting, disabling, de-verifying or removing a business profile;
• deleting, hiding, filtering or delaying reviews;
• changing ratings, rankings or visibility; or
• imposing warnings, penalties or other restrictions on you or your customers.

The Platform relies on and links to services run by others, including Google, AI model providers, hosting, email and messaging (such as WhatsApp) services, and payment channels. These services operate independently under their own terms and privacy policies. They may change their policies, features, pricing or APIs, or restrict or withdraw access, at any time and without notice to us or you.

Your use of a third-party service is governed by that provider's terms. We are not responsible for third-party services, and a change made by a third party may require us to change, limit or discontinue a related feature of the Platform.

Paid plans are billed in Indian Rupees at the price shown on our website or quoted to you, for the billing period stated (currently monthly). Prices are exclusive of applicable taxes such as GST unless stated otherwise. Payments may be collected through the channels we accept, including UPI, bank transfer, card, cash or cheque through our authorised representatives, and are recorded in your dashboard.

• First month. The first month costs ₹499 and includes a sticky QR, an acrylic standee and an A6 QR card. From the second month the plan price applies. The ₹499 is refundable as set out in our Refund Policy.
• Renewals and late payment. Plans must be renewed before the end of each billing period. We may limit, pause or suspend paid features if fees remain unpaid after they fall due.
• Plan changes and price changes. Upgrades or downgrades take effect as agreed with us. We will give reasonable advance notice of any price increase, which applies from your next billing period.

Refunds. Unless required by applicable law or expressly agreed by us in writing, all completed payments are non-refundable. This includes subscription fees, activation or set-up charges, and other service fees, and applies to partially used billing periods, unused usage limits, and accounts that are downgraded, cancelled, suspended or terminated in line with these Terms. Cancelling a plan stops future renewals; it does not result in a refund for the current period.

Nothing in this section limits any right you have under the Consumer Protection Act, 2019 or other law that cannot be excluded by contract. If you were charged twice, charged in error, or paid for a service we did not provide, contact us at hello@chandravarnarachna.com and we will review your request in good faith. More detail may be set out in Refund Policy.

We work to keep the Platform reliable and secure, but it is provided on an "as is" and "as available" basis. We do not guarantee that the Platform will be uninterrupted, error-free, free of harmful components, or that third-party integrations (including Google review links and AI models) will be continuously available.

We may carry out maintenance, and may add, change or remove features from time to time. Where a change materially reduces the core features of a paid plan during a period you have paid for, we will tell you in advance where reasonably possible.

To the maximum extent permitted by applicable law:

• we disclaim all warranties not expressly set out in these Terms, including implied warranties of merchantability, fitness for a particular purpose and non-infringement;
• we are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill or data, whether or not foreseeable;
• we are not liable for lost, removed or unpublished reviews, rating changes, Google Business Profile suspensions or restrictions, actions or omissions of Google or other third parties, AI output posted by your customers, or service interruptions outside our reasonable control;
• our total aggregate liability arising out of or relating to the Platform or these Terms is limited to the fees you actually paid to us for the Platform in the twelve (12) months before the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or wilful misconduct.

Indemnity. You agree to indemnify and hold us harmless from claims, penalties and costs (including reasonable legal fees) arising from your breach of these Terms, your violation of law or third-party policies (including Google's review policies), or content you provide through the Platform.

We may suspend, limit or terminate your access to all or part of the Platform, with notice where reasonably practicable, if:

• you breach these Terms, including the Google Review Policy Compliance section;
• we reasonably suspect fraud, fake reviews, incentivised reviews, review gating or other manipulation;
• fees remain unpaid after they fall due;
• your use creates a security, legal or reputational risk for us, other customers or third parties; or
• we are required to do so by law, a court or a government authority.

While an account is suspended, customer-facing review pages may be paused or show only a direct link to the business's Google review page. You may stop using the Platform at any time by contacting us at hello@chandravarnarachna.com.

On termination, your right to use the Platform ends. We may retain or delete your data in line with our Privacy Policy (to be published separately) and applicable law. Sections that by their nature should survive termination (including payments, disclaimers, limitation of liability, indemnity, intellectual property and governing law) will survive.

We process data to provide and improve the Platform, in line with the Digital Personal Data Protection Act, 2023, the Information Technology Act, 2000 and rules made under them, as applicable. This may include:

• Account and business data: names, email addresses, phone numbers, business and branch details, logos, Google review links, team members and payment records;
• Customer feedback data: the highlights, notes and language a customer submits, AI drafts generated from them, and derived insights such as sentiment and topics;
• Usage data: QR scan events, device type, browser and approximate location, and technical logs used for security, analytics and troubleshooting.

Feedback text is shared with our AI model providers only to generate drafts and insights. Data is stored with our hosting providers using reasonable security safeguards, but no system is completely secure. We do not sell personal data.

As a business using the Platform, you are responsible for having a lawful basis to collect feedback from your customers and for the content you upload. Details of what we collect, why, how long we keep it and how to exercise your rights are, or will be, set out in our Privacy Policy (to be published separately), which forms part of these Terms.

The Platform, including the ReviewSetu name, logos, software, designs, QR brand kits, templates, text and other materials, is owned by or licensed to us and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Platform for your internal business purposes during your subscription. All other rights are reserved.

You keep ownership of your business name, logo and content you upload, and grant us a licence to host, process and display it as needed to provide the Platform. Reviews a customer posts on Google belong to that customer and are governed by Google's terms. If you send us suggestions or feedback about the Platform, we may use them without obligation to you.

We may update these Terms from time to time. We will post the updated Terms on this page and change the "Last updated" date. For material changes we will also notify you by email or in the dashboard at least fifteen (15) days before they take effect, unless a change is required sooner by law or to address misuse or security. Continuing to use the Platform after updated Terms take effect means you accept them. If you do not agree, you should stop using the Platform before that date.

These Terms are governed by the laws of India.

If a dispute arises, please contact us first at hello@chandravarnarachna.com so we can try to resolve it informally. If it is not resolved within thirty (30) days, it shall be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Udaipur, India, and proceedings shall be in English. Subject to this, the courts at Udaipur shall have exclusive jurisdiction.

Nothing in this section prevents either party from seeking urgent interim relief from a competent court, or limits any right you may have to approach a consumer commission under the Consumer Protection Act, 2019, where that Act applies.

These Terms, together with any plan details, order or written agreement with us and the policies referred to in them, are the entire agreement between you and us about the Platform. If any provision is found invalid, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor. Neither party is liable for delays caused by events beyond its reasonable control.
